BISG Membership Ratifies Governance Changes

Membership of the Book Industry Study Group (BISG) today ratified changes to the way the organization is governed. The new approach will take effect over the next nine months.

The BISG Board started to review its structure and purpose in April. An ad hoc committee was formed to identify approaches that would:

·       Create a more transparent, accessible board nominating process

·       Ensure that sectors of BISG membership are accurately and actively represented on the board, and that fresh perspectives are introduced on an ongoing basis

·       Clarify board member roles and responsibilities

·       Strengthen communication between the board and committees

·       Strengthen BISG’s relationships with other industry organizations

In July, the ad hoc committee recommended that the Board make several changes, which included:

·       Moving to a 14-member board, with two-year terms and two-term limits on service

·       Having Board members represent specific segments of the industry

·       Inviting BISG committee chairs to attend board meetings

·       Creating an independent nominating committee that will begin soliciting nominations for at-large board members in January

·       Forming four Advisory Groups (membership, marketing/communications, Association Advisory Council and research)

·       Moving BISG’s annual meeting from September to April, so that votes on the budget and director appointments can take place before the next fiscal year begins

At a special meeting held on August 24, the Board voted to approve these changes and put them before the membership. The vote today confirms the plan. Terms for all current at-large board members will expire in June 2018. To provide continuity, officers will remain in place until June 2019.

At the annual meeting, the membership also voted to approve the organization’s 2017 – 2018 budget. After reporting a positive contribution for the fiscal year ending June 30, 2017, BISG expects a similar result in fiscal 2018.

The meeting took place at the Harvard Club of New York in midtown Manhattan.
